Vela LatAm to buy Brazilian managed IT provider Penso, pending CADE

9 October 2026: Penso, a São Paulo provider of managed IT and cybersecurity services, has agreed to join Vela LatAm, a group that buys and holds software and services companies in Latin America. The deal has been filed with CADE, Brazil's competition authority, and completion depends on its approval. Neither party has disclosed a price.

Not yet independently verified. Only Penso has published the announcement; we found no release on Vela LatAm's own site, and neither side states a price or an expected closing date. We will update this when it can be confirmed, and remove this note.

Penso announced the transaction on its own site, in a statement datelined São Paulo, 8 October. Brazilian trade press has described Vela LatAm as part of Constellation Software, the Canadian group known for buying vertical-market software businesses and keeping them independent.

Who Penso serves

Penso says it serves about 1,600 corporate and public-sector clients, employs about 270 people, runs five data centres in Brazil and holds ISO 27001 certification. Its portfolio is mostly subscription managed services: corporate email and collaboration tools, cloud infrastructure, backup and data recovery, and managed security, plus professional services on top. The company describes itself as a provider of cloud, resilience, managed IT and cybersecurity, and says it has built its position over more than 20 years.

That profile makes it a typical outsourced IT partner for Brazilian mid-sized companies and public bodies that need local data residency and a supplier with its own infrastructure in the country.

The no-integration promise

Most of Penso's statement is about what will not change. It says clients, partners and staff will see no difference day to day: the same brand, team, leadership, service channels, infrastructure and service standards. It also sets out the Vela model in unusually specific terms. Companies in the group keep their own brand, team, management and operating autonomy "with no deadline to leave the group", and there is no integration of operations, no merging of client portfolios, no shared service centre and no centralisation of technical or commercial teams.

Paulo Felipe Martins, chief executive of Vela LatAm, said the group's role was "to support that trajectory and expand the company's capacity to invest in product and service". Thiago Madeira de Lima, Penso's executive director, said: "What we gain is speed, not a new direction." Both quotes are our translations from Portuguese.

What clients should watch

For Penso's customers the commitments are worth holding on to in writing. A change of ownership is usually the moment when contract renewals, data processing terms and the legal entity that signs them can shift, even when the operating team stays. Clients with data processing agreements under Brazil's LGPD may want confirmation that Penso remains the processor of record and that the five data centres stay where they are.

CADE has not yet published its decision, and the companies have not given a target date.
