Anthropic files to list on Nasdaq under the symbol ANT
26 October 2026: Anthropic, the San Francisco company behind the Claude models, has filed a registration statement with the US Securities and Exchange Commission for an initial public offering of its Class A common stock. It intends to list on the Nasdaq Global Select Market under the symbol ANT. The number of shares and the price range have not been set, and the shares cannot be sold until the statement becomes effective.
Not yet independently verified. The figures come from the company's own registration statement, which has not yet become effective and may change before the offering; we have not seen them confirmed elsewhere. No price range or share count has been set. We will update this when it can be confirmed, and remove this note.
The company announced the filing on its own site on 26 October, the day the Form S-1 appeared on EDGAR. It follows two confidential draft registration statements amended on 1 and 9 October. Goldman Sachs and Morgan Stanley head a list of more than twenty underwriters on the cover of the prospectus.
What the filing says about the business
The prospectus gives revenue of $41 million in 2023, $386 million in 2024 and $4.6 billion in 2025, and $16.3 billion in the six months to 30 June 2026, which the company puts at 1,300% more than a year earlier. It warns that it does not expect growth to continue at comparable rates. It also reports net losses in every year since its founding: $1.5 billion in 2023, $8.3 billion in 2024, $42.0 billion in 2025 and $80.7 billion in the first half of 2026, figures that include changes in the fair value of convertible notes and similar instruments.
The company says the number of customers paying it $100,000 or more over twelve months grew from more than 950 to more than 11,900 by 30 September 2026. As of 30 June it had raised $141.1 billion in total and held $112.4 billion in cash and cash equivalents. Its principal office is on Market Street in San Francisco; Dario Amodei is chief executive and Daniela Amodei president, both co-founders.
A public benefit corporation with a trust on the board
Anthropic is incorporated in Delaware as a public benefit corporation, which obliges its directors to weigh its stated public benefit alongside shareholders' financial interests. Its Long-Term Benefit Trust, which the prospectus describes as an independent body of financially disinterested trustees, holds a special Class T stock that lets it elect and remove a group of directors. The filing also creates a Class E stock for employees other than the co-founders, which votes only on limited matters and carries no economic rights.
What it means for companies buying from it
Nothing in the filing changes Anthropic's prices, terms or services. A listing does bring quarterly reporting, which will give enterprise buyers audited figures on a supplier many of them now depend on, and the risk factors in the prospectus are a useful read for anyone assessing concentration on a single model vendor. Our catalogue lists Anthropic among 1,080 artificial intelligence companies, and our AI model board tracks 135 models from it and its rivals.
The prospectus leaves the offering size, price and timing blank. They will appear in an amended filing before the shares are priced.
