About Namirial agrees to buy Madrid e-invoicing software firm ZeroComa

Namirial agrees to buy ZeroComa to grow e-invoicing in Spain

21 October 2026: Namirial, the Italian digital trust group behind electronic signatures, identity checks and certified email, has signed an agreement to buy ZeroComa, a Madrid company whose software receives government notifications and files invoice records with the Spanish Tax Agency for more than 650 customers. Namirial says the deal strengthens its offering "ahead of the introduction of mandatory e-invoicing in Spain". No price was disclosed, and closing is subject to customary conditions.

Not yet independently verified. This rests on Namirial's own release; we have not found a statement from ZeroComa or a filing, and the release gives no price or expected closing date. We will update this when it can be confirmed, and remove this note.

What ZeroComa brings

ZeroComa sells three cloud products to Spanish companies and to foreign firms that fall under Spanish rules:

  • EdasNEO collects electronic notifications from public administrations
  • InvoiZE issues invoices and reports invoice records to the tax agency under SII, TicketBAI and VeriFactu
  • EdasSII handles Immediate Supply of Information reporting

Namirial says the customer base includes 20% of IBEX 35 companies. ZeroComa's own site, read on 26 October, makes a wider claim of more than 33,000 companies using its solutions; the two figures are not reconciled anywhere we read. The company was founded by Andrés Allende and Maria Losada and is run by their sons, co-CEOs Alvaro and Alejandro Allende, from offices on Calle Conde de Peñalver in Madrid.

A family business joining a private equity group

Namirial's shareholders include Bain Capital and PSG Equity, Ambienta SGR, its founder Enrico Giacomelli and members of its management. The group says it is active in more than 90 countries with more than 1,400 employees, and is led by CEO Massimiliano Pellegrini.

"Its technology platforms are among the most established in the Spanish market for e-notification and e-invoicing," Pellegrini said, adding that regulation is "turning digital compliance into a necessity for every business". The Allende brothers called the sale "the natural next step of our growth journey". They will join Namirial's shareholding group, and the current management team stays in place to lead Namirial's e-invoicing business in Spain.

Advisers named in the release: Klecha & Co., Garrigues, Legance and New Deal Advisors / Eight Advisory for Namirial; Arcano, Cuatrecasas, Deloitte, Despacho Sanz Herránz SHL and RSR Asesores Tributarios y Abogados for ZeroComa.

What changes for ZeroComa customers, and when

Nothing changes on signing. The release promises ZeroComa's customers "the complete trust platform of Namirial" but does not say what will be added or when. Customers whose contracts carry change-of-control or data processing terms will want to know which Namirial entity becomes the processor and where data is hosted; the release does not say.

We list Namirial Group among IT product companies, and our digital signature category holds 11 products. ZeroComa is not yet listed. The next date to watch is the closing announcement, which Namirial has not scheduled.
