How to choose venture capital firms

  1. 1. Check Financial Conduct Authority status

Ask whether the firm is authorised by the Financial Conduct Authority or acts as an appointed representative of one, and confirm it on the FCA register before sharing financial details.

  2. 2. Match stage, sector and cheque size

Funds invest at set stages, in set sectors and amounts. Read what each one backs, and approach only those whose focus matches your company, rather than sending a pitch to everyone.

  3. 3. Ask what else they offer

Find out whether the firm offers introductions, hiring help or board experience beyond the money, and talk to founders it has backed, including any whose company struggled.

  4. 4. Understand the terms

Have a solicitor read the term sheet. Pay attention to valuation, liquidation preferences, board seats, vesting and rights over future rounds before agreeing exclusivity.

  5. 5. Check follow-on capacity

Ask whether the investor can put money into later rounds, how long the fund has left to invest, and how it behaves if you need bridge funding.

  6. 6. Look at tax schemes if relevant

Some UK investors work through schemes with tax conditions, such as venture capital trusts. Ask how those rules affect your company, and take your own tax advice.
