Prime Intellect buys Moondream; Moondream Cloud closes 13 November

13 October 2026: Prime Intellect, the San Francisco AI cloud company, has acquired Moondream, the maker of small open-weight models that understand images. Moondream's own hosted service, Moondream Cloud, will shut down on 13 November 2026, so anyone calling its API or using its Lens product has a month to move.

What each company says about the deal

Prime Intellect announced the purchase on its blog on 13 October. Moondream's co-founders, Vik Korrapati and Jay Allen, join Prime Intellect to lead its inference work and to speed up its efforts in multimodal models, including vision and agents that operate computers. Prime says Moondream was one of its earliest customers.

Moondream confirmed the sale the next day and says its models will remain open and keep improving. Terms were not disclosed. GeekWire, citing The Information, reports that Moondream had fewer than 10 employees and that Prime Intellect is buying largely for the team's skill at making models run faster.

The technology Prime wants

Moondream's best-known engineering is Photon, an inference engine that compiles each model into a single program on the GPU, a design known as a megakernel, which cuts the time the chip sits idle between tasks. Prime says it is integrating Photon and Moondream's kernel work into its own stack.

Prime also makes performance claims for Moondream 3.1, its latest model: 34 requests per second, which it calls about 24 times faster than the next most accurate open model, and more than 60 inferences per second on a single H100 using Photon. These are the companies' own figures, and Prime's post carries footnotes for them that we have not tested.

Moondream first appeared in 2024 with a $4.5 million pre-seed round from Felicis, Microsoft's M12 GitHub Fund and Ascend. Prime Intellect raised a $130 million Series A led by Radical Ventures in July, according to GeekWire, and was said then to have passed $100 million in annualised revenue.

What happens to Moondream Cloud customers

Moondream says the shutdown date is 13 November 2026, 30 days after its announcement, and that both its cloud inference and Lens will stop. Unspent purchased credits will be refunded. The company says it will contact customers directly with next steps and will help them migrate to Prime for inference, fine-tuning or similar needs. Urgent issues go to the contact address on its post.

Teams that depend on the hosted API should plan around three points:

  • The weights stay open, so self-hosting Moondream models remains possible.
  • Prime Inference now serves Moondream 3.1, so it is the obvious first move, but its pricing and terms are not part of this announcement.
  • Any workflow built on Lens, which is hosted, needs a replacement path, because the announcement names no like-for-like successor.

Prime Intellect says it will keep the Moondream name for small, efficient models that handle images and other data types. The next date to watch is 13 November.
