IT services takeovers completed on 30 September and 1 October 2026: Capgemini Government Solutions, OPTiM, GMO NIKKO, Empire State

1 October 2026 — The end of a quarter is when many deals close. Four acquisitions of IT services, software and marketing-services firms were completed on 30 September and 1 October 2026, and a fifth was agreed, each announced by the companies themselves. None of the announcements states a price, and we do not report one.

Not yet independently verified. Each deal rests on the companies’ own announcements or stock-exchange filings; no independent report of them was checked, and the buyers’ own statements were not read for the Capgemini sale. The Japanese filings were read in the original. In Asia Quest’s filing the timetable table is laid out ambiguously; we read 2 November 2026 as the planned completion date. We will update this when it can be confirmed, and remove this note.

Capgemini sells its US government unit to ITC Federal

Capgemini announced from Paris on 30 September 2026 that the sale of Capgemini Government Solutions (CGS) to ITC Federal "completed today", under the definitive agreement announced on 12 September 2026. CGS is the unit through which the French group served US government customers. The release is two sentences long and states no price.

For customers: agencies and prime contractors that buy from CGS now deal with a company outside the Capgemini group. Contract novation, security clearances, subcontracting agreements and named key personnel are the things to check with the new owner.

Valtes Holdings completes its purchase of OPTiM (Japan)

Valtes Holdings (Tokyo Stock Exchange Growth, 4442), the Osaka-based software testing and quality-assurance group, said on 30 September 2026 that it had completed the acquisition of all shares of OPTiM, announced on 25 September. OPTiM becomes a consolidated subsidiary; Valtes says the effect on its results for the year to March 2027 is still being assessed.

GMO Commerce takes over GMO NIKKO and GMO Insight

GMO Commerce (TSE Growth, 410A) completed on 1 October 2026 the purchase of all the shares of GMO NIKKO, a Tokyo marketing-support company working in digital marketing, advertising technology and tools, and GMO Insight, announced on 24 September as part of building a marketing platform "for the AI era". The filing names GMO Commerce as the sole shareholder of both companies after the deal.

Usonar buys 70% of Empire State

Usonar (TSE Growth, 431A) completed on 1 October 2026 the acquisition of 70% of Empire State K.K., a Yokohama company doing sales consulting, outsourced business-to-business sales, BPO and a property business. The founders keep the other 30%. Usonar expects the effect on its 2026 results to be minor.

Asia Quest agrees to buy Tetra Communications

Asia Quest (TSE Growth, 4261), an AI and digital-transformation integrator, decided on 1 October 2026 to acquire Tetra Communications, a Tokyo firm doing IT consulting and system development mainly for life insurers, and PC, server, network and security support. Asia Quest says the deal takes it properly into the life-insurance sector, where it has had few customers. Its filing gives 2 November 2026 as the planned date in its timetable.

What to do if you buy from one of these firms

  • Check who you contract with: ask whether your contract moves to the new owner, and whether its terms, prices and service levels stay the same.
  • Ask about your account team and subcontractors, especially where named people, clearances or offshore delivery centres were part of the deal.
  • Watch data-processing terms: a new parent can mean new sub-processors or group data transfers, which may need your consent under your data-protection agreement.
  • Do not assume change for the worse, but put a review date in the calendar three months after the change of control.
