Four software deals filed or announced between 25 and 30 September 2026 now have dates attached. Customers of each product should read their contracts' change-of-control and assignment clauses before those dates arrive.

Pinewood.AI: scheme expected to take effect on 9 October

Pinewood Technologies Group, which trades as Pinewood.AI and sells dealer management software to car retailers, is being bought by U.K. Piston Bidco. Bidco is a new company owned indirectly by entities administered by Ridgeview Partners. On 25 September shareholders approved the court-sanctioned scheme of arrangement. At the court meeting 99.76% of scheme shares voted in favour, and at the general meeting 99.67% of votes cast backed the special resolution.

The timetable in the filing:

  • court sanction hearing: 7 October 2026;
  • last day of dealings in the shares: 8 October;
  • scheme effective: 9 October, with trading suspended at 7.30 a.m.;
  • listing cancelled by 7.30 a.m. on 12 October.

Dealerships using Pinewood.AI will be on a privately owned supplier from 9 October. Ask the vendor for its roadmap and support commitments under the new owner.

BASE: SBI's tender offer extended to 15 October

SBINM, a wholly owned company of SBI Holdings, is making a tender offer for shares in BASE, Inc. (Tokyo Stock Exchange 4477), which runs an online-shop builder for small merchants and the Pay ID payment service. On 30 September the offer period, due to end that day, was extended to 15 October 2026. Settlement moves to 22 October. The price is still ¥340 a share, capped at 23,792,300 shares, about 20.67% of voting rights. SBI aims to make BASE an equity-method affiliate, not to take it private. BASE's board supports the offer and leaves the decision to its shareholders.

Merchants on BASE: nothing changes on 15 October. But SBI is set to become a major shareholder under a business alliance the two announced on 28 August.

Plurilock: shareholder vote expected in November

Montreal-based Quantum eMotion has agreed to buy Plurilock Security of Victoria, British Columbia, which sells cybersecurity services and identity and risk products to enterprise and government customers. The deal is a court-approved plan of arrangement at C$0.28 per Plurilock share, paid 30% in cash and 70% in Quantum eMotion shares. Plurilock shareholders are expected to vote in November 2026, and the deal needs two-thirds approval plus TSX Venture Exchange and NYSE American approval. The parties expect to close shortly after the vote. BetaKit reported the deal on 29 September.

Plurilock customers, especially in the public sector, should confirm how contracts and procurement-framework positions will move to the combined company.

Salesforce to acquire Listen Labs

On 29 September Salesforce signed a definitive agreement to acquire Listen Labs, an AI customer-research platform whose agents design and run interviews and summarise the findings. Salesforce expects to close in the fourth quarter of its fiscal year 2027, subject to regulatory clearance. It did not state a price or say whether Listen Labs will still be sold on its own. Its customers should ask about product continuity and data handling before the deal closes.
