Pulley, the cap-table software, shuts down on 8 December 2026: export your data before 31 January 2027
1 October 2026 — Pulley, the cap-table and equity-management software used by many start-ups to track shareholders, options, SAFEs and 409A valuations, is shutting down. In an FAQ dated 15 September 2026 the company says that "Pulley is shutting down on December 8th, 2026". From that day the app will no longer be available and its team will no longer support customers. Customers keep "the ability to access your Pulley data in a limited format" until 31 January 2027.
Not yet independently verified. This rests on Pulley’s own FAQ; we did not find a dated independent report of the shutdown. We report it now, two weeks after the FAQ was posted, because the dates are still ahead and customers have to act. We will update this when it can be confirmed, and remove this note.
What Pulley offers its customers
Pulley says it has entered an exclusive partnership with Carta, the larger equity-management platform, to take over customers who want it:
- Opt-in, not automatic. Customers choose, when they log in to Pulley, whether to let Pulley share their contact and contract details with Carta. Pulley says this is "not a contractual agreement to migrate".
- What is shared on opt-in: contact details, subscription period, the number of stakeholders, the Pulley plan, the number of share classes and equity plans, the security types (SAFEs, convertible notes, warrants) and the transaction types on the cap table, and the entity type.
- A new 12-month contract with Carta is required to migrate. Pulley says current Pulley pricing is honoured for the first full year on Carta, with a credit for unused prepaid Pulley time.
- Migration is described as a direct transfer of the cap table and its history, which the customer confirms once complete.
Why it matters
A cap table is a legal record. Investors, auditors, acquirers and employees exercising options all rely on it, and it feeds 409A valuations and the tax reporting of equity awards. Losing access, or moving it carelessly in the middle of a funding round, an option grant cycle or a year-end, creates real problems. The window is short: about ten weeks of full service, then eight weeks of limited access.
What to do
- Export everything now, whatever you decide: the cap table, the full transaction history, stakeholder records, signed documents, option grants and exercises, 409A reports and board approvals. Keep your own copy.
- Decide on a replacement before you sign anything. Carta's offer is one option; other equity-management platforms and law-firm-run cap tables are others. Compare the 12-month contract, the price after year one and the migration support.
- Check the migrated data against your export, share class by share class, before 8 December.
- Tell your lawyers, auditors and investors where the record of truth will live from December.
- Time it around your calendar: do not migrate in the middle of a round closing or an option grant cycle if you can avoid it.
