15 October 2026: Proofpoint has signed a definitive agreement to acquire Varonis Systems, the data security company, in a deal SiliconANGLE puts at about $6.3 billion in cash, or $49.75 a share. Varonis chief executive Yaki Faitelson announced it to customers the same day, writing that the companies expect to close "in the first half of 2027" and that both will run as separate, independent companies until then. The merger agreement, dated 15 October, also names Vail Merger Sub as the vehicle.
Not yet independently verified. The price and the per-share figure come from SiliconANGLE; we could not open the parties' own release, as Varonis's investor site refused our request. We will update this when it can be confirmed, and remove this note.
What each side brings
Faitelson frames the deal as two halves of one problem. Proofpoint, built on email security, sees how attacks begin, with people and increasingly with AI agents acting for them. Varonis sees what those attacks are after: where sensitive data lives, who and what can reach it, and how it is used across cloud, SaaS, databases and on-premises file shares. Proofpoint counts more than 80 of the Fortune 100 among its customers, along with over 14,000 large enterprises, according to the Varonis post.
The overlap has grown recently. SiliconANGLE notes that Varonis moved into email threat protection in September 2025 by agreeing to buy SlashNext, while Proofpoint has been buying too, including the German Microsoft 365 security firm Hornetsecurity last year. Thoma Bravo took Proofpoint private for $12.3 billion in 2021, and this is its largest purchase since.
The price and the steps before closing
SiliconANGLE reports that the $49.75 a share is a 52% premium to Varonis's price before reports of a sale began in June. The forward-looking statement on the Varonis post lists what still has to happen: adoption of the merger agreement by Varonis stockholders and approvals from regulators. Varonis's shares would leave the public market at closing, though Faitelson writes of the combined company's potential "future return to the public markets".
What changes for Varonis customers
For now, nothing. Faitelson's post says account teams, account numbers and support channels stay the same, and that existing contracts and products are untouched. Over time the pitch to security leaders is "fewer vendors", which in practice means one supplier for email, data loss prevention and data access controls.
Customers renewing in the next few months may want any multi-year commitment to say what happens to pricing and product roadmaps if the two platforms merge, since the closing window runs well into 2027. Companies that buy both products today are the ones most likely to see bundled offers first.
