NEOPAY agrees to acquire a 65 percent controlling stake in noon payments, adding Saudi Arabia and Egypt, subject to approvals
5 October 2026 — NEOPAY, a payments company based in the United Arab Emirates, announced on 5 October 2026 that it has entered a definitive agreement to acquire a 65 percent controlling stake in noon payments. The announcement, as reported by Gulf News and TechAfrica News, says the deal brings together NEOPAY's acquiring infrastructure, omnichannel payment acceptance and merchant services with noon payments' embedded payments platform, e-commerce gateway and merchant network in the UAE, Saudi Arabia and Egypt.
Not yet independently verified. NEOPAY's own announcement could not be opened from our machine (neopay.com did not respond), so the facts rest on two news outlets reporting the company's statement. Deal value, completion date and integration plans are not disclosed in what was read. We will update this when it can be confirmed, and remove this note.
The deal
The agreement is definitive, but completion is subject to customary conditions, including applicable regulatory and antitrust approvals. The reports do not give a price, a completion date or the identity of the holder of the remaining 35 percent. NEOPAY's chief executive, Vibhor Mundhada, is quoted as describing the aim as a truly regional payments platform that can serve merchants across channels and markets, reinforcing NEOPAY's position in the UAE and extending its footprint into Saudi Arabia and Egypt.
What the companies do
NEOPAY provides merchant acquiring and in-store and online payment acceptance. noon payments is the payments business connected with the noon e-commerce group and offers an embedded payments platform and e-commerce gateway, with integrations to marketplace sellers and online merchants. NEOPAY describes the merchant base as having high transaction density in fast-growing digital commerce segments. According to the reports, noon keeps its wider e-commerce ecosystem and brings its payments business closer to a dedicated regional payments infrastructure provider.
Who is affected
Merchants that accept payments through either company in the UAE, Saudi Arabia or Egypt, marketplace sellers using noon payments' integrations, and software or platform vendors that have built plugins or connections to either gateway. Nothing in the reports says contracts, pricing or technical interfaces will change now; the transaction has not yet completed.
What to check
Until completion, services continue under the existing agreements. Merchants can read their processing contracts for change-of-control, assignment and notice clauses, and ask their account manager how settlement times, fees, supported payment methods such as instalments, and API versions will be handled after any integration. Developers who depend on the noon payments gateway can watch for announcements about integration and deprecation. Finance teams can note that regulatory and antitrust approvals in three countries may take time and can affect the completion date.
Why it matters
Gulf and North African merchants have a small number of regional acquirers, and a combined acquirer-and-gateway business across three markets changes the list of providers a buyer can compare. The consolidation also shows payments infrastructure in the region being assembled by acquisition rather than built market by market. The terms are not public, so the commercial effect on merchants is not yet clear.
