IonQ closes $1.15 billion all-stock purchase of Elisity

4 November 2026: IonQ has completed its acquisition of Elisity, a zero trust network security company, issuing $1.15 billion of its common stock at closing. The sellers can earn up to a further $150 million if Elisity reaches revenue milestones through January 2028, which leaves Elisity's customers with a new owner best known for quantum computers.

Not yet independently verified. The $1.15 billion is the value of IonQ stock issued at closing as IonQ states it, and we have not read a securities filing. Elisity's customer count and Fortune 500 customers are the company's own claims. We will update this when it can be confirmed, and remove this note.

What the quantum company bought

Elisity, founded in 2019, sells software that finds the assets connected to a network and enforces identity-based access policies on them. Its IdentityGraph correlates identity, asset and risk data, and its policy layer applies access rules independently of the network underneath,. The company says it has more than 100 enterprise deployments, with Fortune 500 companies among its customers.

IonQ announced the deal on 12 October. Its stated reason is to put three things in one product line: post-quantum cryptography, quantum key distribution and zero trust. The plan is to use Elisity's view of which assets exist and what they talk to as a way of deciding where post-quantum protection should go first, against the risk that encrypted traffic is recorded today and decrypted later.

"IonQ now brings together post-quantum cryptography, quantum key distribution, and Zero Trust security in a single platform," said Niccolo de Masi, IonQ's chairman and chief executive.

What Elisity's customers are promised

IonQ says customers keep the same teams and the same platform, and that existing deployments and identity policies carry forward. James Winebrenner, Elisity's chief executive, stays in place and frames the change as an extension of what customers already run: "we'll extend the Elisity platform customers already use to help them prepare for post-quantum cryptography."

Those are statements of intent from the parties at closing, with an earn-out running to January 2028 that ties the sellers to revenue. A customer can reasonably ask what the deal does to the roadmap once revenue targets and a quantum security line sit side by side, and whether a post-quantum add-on will be sold separately or bundled at renewal. Neither release answers that.

Where it sits in the market

Elisity is in our catalogue at its company profile, and we list six network security products. Buyers comparing network segmentation tools will now be weighing a vendor owned by a listed quantum company.

The consideration was paid in stock, so what the sellers actually receive moves with IonQ's share price. The release gives no cash component and no figure for Elisity's revenue, so the milestones behind the $150 million cannot be judged from outside.
